Terms of Service

1. Acceptance of these terms

By accessing or using GroundTime, you agree to these Terms of Service. If you do not agree, do not use the service. "GroundTime," "the service," or "the app" means the GroundTime marketing site at groundtime.com and any GroundTime mobile applications. "We," "us," or "our" means Threadwell Labs LLC, a California limited liability company.

2. Eligibility

To use GroundTime, you must:

• Be at least 18 years old
• Be currently employed as airline crew at a recognized commercial airline (flight attendant, pilot, or similar role), OR be in the process of verifying current crew status
• Provide truthful information about your identity and employment
• Have the legal capacity to enter into binding contracts

We reserve the right to refuse service to anyone for any reason at any time.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@groundtime.com of any unauthorized use.

You may not transfer your account to anyone else, share your credentials, or create multiple accounts.

4. Acceptable use

You agree to use GroundTime only for its intended purpose: connecting with verified airline crew on layovers. Specifically, you agree to:

• Be honest about your identity and employment
• Treat other crew with respect
• Honor commitments you make (showing up to meetups you joined, etc.)
• Report behavior that violates these terms

5. Prohibited conduct

You may not:

• Harass, threaten, demean, or discriminate against other users
• Post or share content that is illegal, sexually explicit, hateful, or harmful
• Impersonate another person or misrepresent your affiliation with an airline
• Use the service for commercial solicitation, recruitment, sales, MLM schemes, or off-platform business
• Attempt to access another user's account or any non-public area of the service
• Reverse-engineer, scrape, or attempt to extract data from the service
• Interfere with the service's operation, including by submitting viruses or denial-of-service attacks
• Use bots or automated tools to access or interact with the service
• Share content that infringes intellectual property rights
• Violate any applicable law

We may suspend or terminate your account for violations of this section at our sole discretion.

6. User content

You retain ownership of content you create on GroundTime (meetup posts, messages, profile information). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to display, transmit, and store that content as necessary to operate the service. This license ends when you delete the content or close your account, except where retention is required by law or for operational integrity.

You are responsible for the content you post. You must not post content that infringes any third party's rights or violates these terms.

7. Subscriptions and billing

Some features of GroundTime require a paid subscription. When the app launches, subscription terms will be displayed at the point of purchase. By starting a subscription, you authorize us (or our payment processor) to charge your payment method on a recurring basis until you cancel.

You may cancel a subscription at any time through your account settings or by contacting hello@groundtime.com. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for partial periods, except as required by law.

Specific subscription pricing, free trial terms, and any founding-member or promotional offers will be disclosed at the point of purchase.

8. Termination

You may close your account at any time by emailing hello@groundtime.com or using in-app account closure when available.

We may suspend or terminate your access to the service at any time, with or without notice, for any reason, including violation of these terms, fraud, or harm to other users or the platform. Upon termination, your right to use the service ends immediately.

9. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

• That the service will be uninterrupted, error-free, or secure
• That any defects will be corrected
• That the service will meet your specific needs
• The conduct of any user of the service

You meet up with other crew at your own discretion and risk. We are not responsible for the actions of any user, on-platform or off.

10. Limitation of liability

To the maximum extent permitted by law, Threadwell Labs LLC and its affiliates, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the service.

Our total liability to you for any claim arising from these terms or your use of the service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) $100.

Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Threadwell Labs LLC, its affiliates, officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the service, your violation of these terms, or your violation of any rights of another party.

12. Governing law and dispute resolution

These terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

Any dispute arising from or related to these terms or your use of the service will be resolved by binding arbitration administered in San Diego County, California, under the rules of the American Arbitration Association, except that either party may bring an individual claim in small-claims court if eligible.

You and we agree to resolve disputes individually, not as part of any class action.

13. Modifications

We may modify these terms at any time. When we make material changes, we will notify you by email and update the "Effective" date at the top. Your continued use of the service after a material change constitutes acceptance of the updated terms. If you do not agree to the modified terms, you must stop using the service.

14. Miscellaneous

• Entire agreement: These terms, together with the Privacy Policy, are the entire agreement between you and us regarding the service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in full effect.
• No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: You may not assign these terms. We may assign them to a successor in connection with a merger, acquisition, or sale of assets.
• Notices: Notices to us should be sent to hello@groundtime.com. Notices to you will be sent to the email address associated with your account.
